WUPDOC TERMS OF USE

1. PREAMBLE, PURPOSE & SCOPE OF AGREEMENT

1.1. The website with the domain name www.wupdoc.com and associated mobile applications (collectively referred to as "Wupdoc" or the "Platform"), operated by Wupdoc B.V. ("Wupdoc"), is an online software technology platform established to bring together international patients seeking medical procedures and independent health clinics and/or medical service providers operating worldwide. The Platform enables Users to submit anonymous offer requests, receive customized medical proposals, communicate securely via an integrated In-App Chat, and confirm treatment bookings through a digital reservation deposit mechanism.

1.2. Wupdoc B.V. is a corporate entity registered in the Netherlands, headquartered at Sloterweg 303, 1171 VC Badhoevedorp, Amsterdam, Netherlands, with Tax Identification Number 865127761. Services provided on Wupdoc are strictly of an information, matchmaking, and technology intermediation nature and do not constitute, replace, or substitute professional medical advice, medical diagnosis, clinical evaluation, or healthcare delivery for Users.

1.3. This User Agreement ("Agreement") governs the binding legal relationship between Wupdoc and any natural or legal person accessing, browsing, registering on, or utilizing the Wupdoc Platform ("User" or "Visitor"). The medical treatment contract, diagnostic agreement, clinical care package, and surgical execution are concluded exclusively, directly, and independently between the independent Clinic/Provider and the User. Wupdoc is strictly an intermediary technology platform operator and is not a party, agent, guarantor, or insurer to any medical, clinical, or travel service agreement established between the Clinic/Provider and the User.

1.4. By accessing, browsing, registering on, submitting an Offer Request on, accepting an Offer on, or transmitting a Deposit through Wupdoc, you explicitly declare, warrant, and covenant that you have read these Terms of Use, fully understood their entire content, and unconditionally accepted all terms, conditions, disclaimers, privacy policies, and chargeback prohibitions specified herein.
 

2. DEFINITIONS

2.1. Unless expressly stated otherwise, the terms mentioned in this Agreement shall be interpreted and defined as follows:

• Wupdoc: Refers to Wupdoc B.V., its online technology platform, mobile/web applications, databases, software systems, servers, and domain www.wupdoc.com.
• Service Provider / Clinic / Hospital / Doctor: Refers to independent, licensed healthcare entities, hospitals, clinics, medical practitioners, or health tourism providers registered on Wupdoc to offer medical treatment packages and proposals to Users.
• User / Patient / Consultant: Refers to any real person who accesses Wupdoc to seek medical information, request treatment proposals, communicate with Clinics, or reserve healthcare services.
• Visitor: Refers to any individual who navigates Wupdoc without registering or logging in, who can view public content but cannot submit offer requests, enter In-App Chat, or receive price proposals.
• Offer Request: Refers to the structured, anonymous medical inquiry created by a User on Wupdoc detailing treatment preferences, medical history notes, travel schedules, and relevant health photos without disclosing personal contact details.
• Offer / Proposal: Refers to the non-binding or finalized medical treatment package proposal submitted by a Clinic to a User via Wupdoc, detailing package inclusions (treatment, hotel, transfers), pricing, and deposit requirements.
• In-App Chat: Refers to Wupdoc’s secure internal messaging interface unlocked upon User acceptance of an initial offer, enabling direct pre-booking communication between the User and Clinic while preserving strict contact anonymity.
• Deposit: Refers to the reservation down-payment paid by the User through Wupdoc's integrated PCI-DSS compliant payment gateway (Stripe) to confirm a treatment booking. The Deposit counts directly as a partial down-payment toward the Total Treatment Price set by the Clinic.
• Total Treatment Price: Refers to the comprehensive treatment fee quoted by the Clinic in its official offer proposal on Wupdoc.
• Content: Refers to all visual, textual, audio, graphic, photographic, video, directory, or data materials published on Wupdoc, including blog posts, treatment guides, clinic profiles, doctor credentials, and user reviews.
• Device: Refers to internet-connected hardware (computers, smartphones, tablets) capable of executing current web browsers or mobile operating systems to access Wupdoc.
• GDPR: Refers to the European Union General Data Protection Regulation (EU) 2016/679 on the protection of natural persons with regard to the processing of personal data.
• Personal Data: Refers to any information relating to an identified or identifiable natural person processed under applicable European data protection legislation.
   

3. GENERAL TERMS & CONDITIONS OF USE

3.1. This Agreement regulates the mutual legal rights, duties, liabilities, and obligations of Wupdoc and the User. This Agreement must be read prior to accessing or performing any transaction on Wupdoc.

3.2. If any term, condition, or clause of this Agreement is unacceptable to the User, the User must immediately cease using the Wupdoc Platform, terminate access, and refrain from registering an account or initiating any offer requests. Continued access or transaction execution on Wupdoc constitutes full, legal, and irrevocable acceptance of these terms.

3.3. Wupdoc reserves the exclusive right to update, modify, amend, or restructure the Platform, its features, workflow algorithms, and this Agreement at any time. Updates published on Wupdoc become effective immediately upon posting. The User's continued use of Wupdoc following such updates constitutes explicit acceptance of the revised terms.

3.4. Real persons who have attained the legal age of majority and possess full legal capacity to execute binding contracts under their applicable national law may register as Users. If a registration is executed by an individual lacking legal capacity, Wupdoc assumes no liability, and the individual and their legal guardians shall be solely liable for any resulting damages.

3.5. Wupdoc reserves the right to modify platform functionality, shift free features to paid subscription tiers, or alter service parameters upon notice published on the Platform.

4. WUPDOC PLATFORM WORKFLOW, VISITOR VS. USER RIGHTS & REGISTRATION

4.1. The Wupdoc Platform functions as an anonymous, end-to-end digital matchmaking, communication, and reservation environment for international health tourism.

4.2. Scope of Capabilities for Visitors and Users:

A Visitor on Wupdoc may:

• Browse public clinic directories, doctor profiles, and specialty pages,
• View published blog articles, educational health content, and verified patient reviews,
• Examine treatment categories and general price ranges,
• Initiate user account registration.
• A Registered User on Wupdoc may:
• Perform all functions available to Visitors,
• Personalize their user profile, settings, and health preferences,
• Create, upload, and submit anonymous Offer Requests containing medical preferences and photos,
• Receive, compare, and accept customized treatment Offer proposals from multiple Clinics,
• Utilize Wupdoc In-App Chat to communicate directly with assigned Clinic coordinators,
• Execute Deposit payments via Wupdoc's payment gateway to confirm medical bookings,
• Submit post-treatment reviews and clinic ratings upon completing treatment.
   

4.3. Registration Requirements: To unlock full platform capabilities, the User must complete the electronic registration form and provide accurate, current, and complete personal details:

• Full Legal Name and Surname,
• Valid Email Address,
• Active Mobile Phone Number (including country code),
• Country of Residence,
• Secure User Password.
   

4.4. Verification & Accuracy Duty: The User acknowledges that Wupdoc may transmit automated SMS verification codes or email activation links to confirm contact validity. The User bears sole legal responsibility for ensuring all registration data is accurate, authentic, and up to date. Wupdoc shall not be held liable for communication failures, missed booking updates, or data loss caused by inaccurate data provided by the User. Wupdoc reserves the right to suspend or delete accounts containing false, misleading, or fraudulent information.
 

5. USER'S RIGHTS, OBLIGATIONS & STRICT CONTACT PRIVACY RULES

5.1. Lawful Purpose Commitment: The User agrees to use Wupdoc strictly for lawful, personal health research, consultation, and reservation purposes in accordance with public order, moral standards, and applicable local and international legislation.

5.2. Mandatory In-App Messaging & Strict Contact Privacy Rule:

• Prior to the payment of a reservation Deposit and receipt of official booking confirmation on Wupdoc, all communications, medical inquiries, photo evaluations, package adjustments, and price negotiations between the User and the Clinic MUST take place exclusively within Wupdoc In-App Chat.
• To protect user privacy, prevent fraud, and maintain platform integrity, the User is strictly prohibited from requesting, displaying, transmitting, or exchanging direct contact details inside the In-App Chat prior to Deposit payment, including but not limited to: personal phone numbers, mobile/landline numbers, personal or work email addresses, WhatsApp contact details or QR codes, social media handles (Instagram, Facebook, Telegram, LinkedIn, TikTok, etc.), external website URLs, direct video call links, or off-platform payment account details.
• Personal contact details of the User are released to the Clinic automatically ONLY AFTER the User successfully completes the Deposit payment on Wupdoc.
   

5.3. Anti-Circumvention Rule: The User explicitly agrees not to circumvent or attempt to bypass Wupdoc by soliciting, encouraging, or agreeing with Clinics to execute treatment bookings, pay reservation deposits, or process fees outside the Wupdoc Platform. Any attempt to take communications off-platform prior to Deposit confirmation constitutes a material breach of this Agreement, entitling Wupdoc to immediately suspend or permanently ban the User's account.

5.4. Content Non-Interference & Non-Competition: The User agrees not to reproduce, copy, scrape, reverse-engineer, distribute, crawl, or extract platform databases, clinic lists, software codes, visual assets, or Content published on Wupdoc. The User shall not engage in any activity that creates unfair competition, disrupts server stability, or damages the commercial reputation of Wupdoc.

5.5. Platform Disruption Liability: The User accepts sole legal and criminal liability for all actions performed under their account credentials. The User agrees to compensate Wupdoc in full for any direct, indirect, administrative, or legal damages incurred as a result of the User's unlawful actions or breach of this Agreement.

6. DEPOSIT MECHANICS, PAYMENT TERMS & FINANCIAL DISCLOSURES

6.1. Reservation Deposit Function: To confirm a medical treatment booking with a selected Clinic on Wupdoc, the User pays a Deposit via Wupdoc's integrated PCI-DSS compliant payment gateway (Stripe).

6.2. Advance Payment Character: The Deposit paid by the User on Wupdoc operates directly as a partial advance down-payment toward the Total Treatment Price established by the Clinic in its official offer proposal.

6.3. Absence of Extra Platform Fees for Users: The User pays no additional, separate, or hidden software usage fee to Wupdoc. The entire Deposit paid on Wupdoc is credited toward the User's Total Treatment Price payable to the Clinic.

6.4. Intermediation Commission Disclosure: The User acknowledges and understands that Wupdoc operates as a technology intermediary for the Clinic. Out of the Deposit paid by the User, Wupdoc retains its earned contractual intermediation commission or processes net payout distributions pursuant to independent commercial agreements established between Wupdoc and the Clinic. The User explicitly agrees that Wupdoc’s internal financial arrangements with Clinics do not alter the character of the Deposit as an advance payment toward the treatment price.

6.5. Remaining Balance Collection: The User shall pay the remaining balance of the Total Treatment Price (Total Treatment Price minus the paid Deposit) directly to the Clinic upon arrival at the medical facility, in accordance with the payment methods accepted by the Clinic (cash, credit card, bank transfer).

7. WUPDOC’S RIGHTS, OBLIGATIONS & PLATFORM MANAGEMENT

7.1. Technology Intermediary Status: Wupdoc acts strictly as a directory, software technology host, and digital matchmaking intermediary. Wupdoc does not operate medical facilities, employ physicians, render medical diagnoses, plan clinical protocols, or guarantee treatment results.

7.2. Technical Infrastructure & Uptime: Wupdoc agrees to exert commercially reasonable efforts to maintain platform security, functionality, data encryption, and server operation. However, Wupdoc does not guarantee uninterrupted 24/7 platform access, error-free messaging, or immune system architecture. Wupdoc reserves the right to perform scheduled maintenance, software updates, or emergency server repairs without prior notice.

7.3. Unilateral Account Management: Wupdoc reserves the right to suspend, restrict, block, or delete any User account, cancel active offer requests, or sanitize In-App Chat logs without liability if the User breaches contact privacy rules, engages in abusive messaging, provides fraudulent medical data, or violates this Agreement.

7.4. Data Utilization & Analytics: Wupdoc reserves the right to collect, anonymize, process, store, and analyze user interaction metrics, IP addresses, browser types, device parameters, and usage patterns to optimize algorithms, improve matchmaking features, conduct marketing analyses, and deliver personalized platform content in compliance with data privacy laws.

7.5. Cookie & Remarketing Usage: Wupdoc utilizes cookies, web beacons, and tracking pixels to associate visitor browser sessions and build remarketing audiences based on page views, duration, and user interaction metrics as detailed in the Wupdoc Cookie Policy.

8. DISCLAIMER, ABSOLUTE LIMITATION OF LIABILITY & CHARGEBACK SHIELD

8.1. Absolute Exclusion of Medical, Clinical & Operational Liability:

• Wupdoc assumes ZERO legal, financial, or medical liability for diagnosis eligibility, clinical evaluation, treatment execution, surgical outcomes, medical malpractice, bodily injury, pain and suffering, post-operative complications, or negligence caused by any Clinic or Doctor listed on Wupdoc.
• Wupdoc does not verify, validate, certify, or endorse the medical credentials, surgical success rates, sanitary standards, or official authorizations of Clinics. The User bears sole responsibility for conducting independent due diligence regarding clinic licenses and physician qualifications before transmitting a Deposit.
   

8.2. Travel, Logistics & Third-Party Exclusions: Wupdoc bears no responsibility or liability for flight delays, airline cancellations, hotel accommodation quality, visa rejections, airport transfer disruptions, or logistical failures associated with the health tourism itinerary.

8.3. Non-Party Status in Disputes: Wupdoc is not a party to, nor an arbiter of, contract disputes, medical claims, pricing disagreements, or refund demands arising between the User and the Clinic. The User waives all legal rights to name Wupdoc as a co-defendant, respondent, or guarantor in any litigation, arbitration, or regulatory complaint filed against a Clinic.

8.4. Intermediation Service Fulfillment & Non-Refundability: The User explicitly acknowledges and agrees that Wupdoc’s contractual software intermediation service to the User is 100% completed, fully rendered, and consumed at the exact moment the User successfully pays the Deposit and receives booking confirmation. Because Wupdoc's matchmaking and platform service is fully rendered upon confirmation, the Deposit is non-refundable by Wupdoc. Any request by the User for deposit refund, booking cancellation, or rescheduling is governed strictly by the individual Clinic's internal cancellation policy.

8.5. Prohibition of Credit Card Chargebacks (Chargeback Shield):

The User explicitly agrees NOT to file, initiate, or facilitate a credit card chargeback, bank payment dispute, or claw-back procedure against Wupdoc B.V. for reasons related to medical dissatisfaction, clinical outcomes, medical malpractice, travel cancellations, flight delays, scheduling conflicts, or billing disagreements with the Clinic.

If the User files an ungrounded or fraudulent chargeback against Wupdoc in breach of this clause, the User agrees to fully indemnify Wupdoc B.V. for all disputed transaction amounts, chargeback processing fines levied by payment card networks, bank defense fees, and legal enforcement costs incurred by Wupdoc.

8.6. Third-Party Device & Network Damage: Wupdoc assumes no liability for device malfunctions, malware infections, data corruption, or network fees incurred by the User while accessing Wupdoc via unsuitable hardware, public Wi-Fi networks, or compromised devices.

9. INTELLECTUAL PROPERTY RIGHTS

9.1. Exclusive Ownership: All software code, user interface designs, visual layouts, graphics, database structures, algorithms, trademarks, trade names, logos, directory listings, and Content published on Wupdoc remain the exclusive intellectual property of Wupdoc B.V.

9.2. Restricted License: The User is granted a non-exclusive, non-transferable, revocable, limited personal license to access and use Wupdoc strictly in accordance with this Agreement. The User shall not copy, extract, scrape, resell, modify, distribute, create derivative works from, or commercially exploit any intellectual property belonging to Wupdoc without prior written consent.

10. DATA PROTECTION, PRIVACY & COOKIE POLICY (GDPR)

10.1. Compliance with GDPR: Wupdoc processes personal data in strict compliance with Regulation (EU) 2016/679 (GDPR), applicable Dutch data protection laws, and the Wupdoc Privacy Policy.

10.2. Processing of Special Category Health Data: The User voluntarily submits medical history notes, health preferences, and diagnostic photos inside the Offer Request and In-App Chat. Special category health data is processed based on the User's explicit consent for the sole purpose of enabling prospective Clinics to evaluate medical suitability and issue proposals.

10.3. Cloud Hosting & International Transfers: The User acknowledges and consents that personal data processed by Wupdoc is stored securely within encrypted cloud infrastructure provided by Microsoft Azure and processed by sub-processors (e.g., Stripe for payment gateway processing) in full compliance with GDPR technical security mandates.

10.4. Public Patient Reviews: If the User submits a post-treatment review, rating, or testimonial on Wupdoc, the User agrees that the review text, star ratings, and display name will be published publicly on the Platform.

10.5. Strict Limitation on Health Photography Usage: Medical photos, diagnostic images, and health media uploaded by the User inside the Offer Request or In-App Chat are collected and processed strictly for clinical evaluation by prospective Clinics to issue treatment proposals. Wupdoc explicitly guarantees that patient medical photos shall NEVER be used, published, displayed, or distributed by Wupdoc for marketing, advertising, social media promotion, or commercial publicity without obtaining separate, express, and explicit written consent from the User.

11. ELECTRONIC EVIDENCE AGREEMENT (E-EVIDENCE)

11.1. Conclusive Legal Evidence: The parties to this Agreement explicitly agree that in all legal, judicial, administrative, and chargeback arbitration proceedings arising out of or in connection with this Agreement or platform usage, Wupdoc’s internal system database logs, server records, approval timestamps, IP address logs, User ID parameters, user agent records, electronic consent logs, and In-App Chat transcripts shall constitute binding, conclusive, definitive, and exclusive legal evidence under applicable civil procedure laws.

11.2. Click-Wrap Validity: The User acknowledges that digital execution of this Agreement via click-wrap buttons ("I Accept", "Pay Deposit", "Submit Offer Request") holds full legal equivalence to a handwritten physical signature.

12. CHANGES TO USER TERMS & SEVERABILITY

12.1. Unilateral Amendments: Wupdoc reserves the right to amend, update, or revise this Agreement at its sole discretion by publishing the updated version on www.wupdoc.com. Revised terms become effective immediately upon publication.

12.2. Severability: If any provision, clause, or sentence of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.

12.3. No Waiver: The failure of Wupdoc to enforce any right or provision of this Agreement shall not be construed as a waiver of such right or provision in future instances.

13. FORCE MAJEURE

Wupdoc shall not be held liable or deemed in breach of this Agreement for any failure, disruption, or delay in platform availability, message delivery, or deposit processing resulting from acts or causes beyond its reasonable commercial control, including but not limited to: natural disasters, war, terrorism, civil unrest, government restrictions, severe epidemic/pandemic measures, power grid failures, global Internet backbone disruption, major server destruction, or cyber-attacks targeting cloud host infrastructure (DDoS attacks).

14. APPLICABLE LAW, JURISDICTION & GOVERNING LANGUAGE

14.1. Applicable Law: This Agreement, its interpretation, validity, and performance, as well as any non-contractual obligations or legal disputes arising out of or in connection with it, shall be governed strictly by and construed under the laws of the Netherlands.

14.2. Exclusive Jurisdiction: Any legal action, dispute, judicial proceeding, or chargeback arbitration arising out of or relating to this Agreement or platform usage shall be submitted to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands.

14.3. Governing Language: The official governing language of this Agreement, platform legal policies, and any formal dispute resolution proceedings shall be English.

15. TERMINATION & NOTIFICATIONS

15.1. Termination by Wupdoc: Wupdoc reserves the right to block User platform access, restrict account functionality, or terminate this Agreement immediately without prior notice upon any material breach of this Agreement, contact privacy violations, attempted circumvention, or fraudulent activities.

15.2. Notice Channels: Official legal notifications to Wupdoc shall be directed in writing to support@wupdoc.com. Wupdoc may deliver valid legal notices to the User via the primary email address or mobile phone number registered in the User's account profile. Notifications delivered electronically to registered user credentials shall be deemed legally delivered and effective upon transmission.
